Project Terms

This Retainer Agreement (“Agreement”) is entered into by and between Workiflow LLC (“Workiflow”) and   (“Client”). Workiflow agrees to provide managed services to assist Client with optimizing and maintaining its monday.com and related platforms in accordance with the terms outlined herein. This Agreement shall commence on the date of the first payment and continue for an initial term of 12 months unless otherwise specified in the Client’s Order Form. The Agreement will automatically renew for successive terms unless either party provides written notice of termination at least 30 days before the end of the current term. Notwithstanding the foregoing, the Client may terminate this Agreement at any time by providing at least 30 days’ written notice to Workiflow.

Under this Agreement, Workiflow will provide professional services related to workflow optimization, automation, and system maintenance. The scope includes, but is not limited to:
  • Training sessions for Client’s team on best practices.
  • Strategic advisory on board structures, automations, and integrations.
  • System configuration including setup, optimization, and data structuring.
  • Regular system health assessments to review performance and identify areas for improvement.
  • Account maintenance, including user management, permission audits, and data cleanup.
  • Custom workflow design and implementation tailored to business objectives.
Services not explicitly listed above may require additional service hours or a separate agreement.
  • Client will receive a fixed number of service hours per month as outlined in the selected Retainer Package.
  • Service hours are offered on a “use it or lose it” basis. Unused hours do not carry over to the next month.
  • Upon request and subject to availability, Workiflow may allow a limited number of hours to be borrowed from the following month. Borrowing is capped at 50% of the standard monthly allocation and may not reduce future month(s) below 50% of their respective hours.
  • Additional hours may be purchased at the standard hourly rate associated with the selected package tier.
  • Hours are available in blocks of 5 and must be scheduled with a minimum 3 business days’ notice.
  • Overage work is subject to consultant availability and must be pre-approved.
  • A quarterly planning session will be held (not counted against service hours) to review progress, align on priorities, and plan upcoming work.
  • Any additional meetings or working sessions requested by the Client will count against the monthly service hour allocation.
  • All project communication will be handled through mutually agreed channels (e.g., Zoom, Slack, Email, etc.).
  • Client will provide all necessary access credentials and permissions required for Workiflow to perform services efficiently.
  • Client is responsible for timely approvals and internal alignment with its stakeholders.
  • Workiflow will assign a primary consultant for service continuity but reserves the right to reassign resources as needed to meet delivery timelines.
  • The Client agrees to pay a fixed monthly fee based on the selected retainer package (10, 20, 30, or 40 hours).
  • Billing will occur automatically on the same calendar day each month based on the initial payment date (e.g., the 15th of each month).
  • Additional service hours will be invoiced separately and are payable within 7 days of invoice date.
  • Late payments may result in service suspension until the balance is cleared.
  • This Agreement is governed by the laws of the State of Delaware.
  • Workiflow disclaims all warranties except those explicitly stated in this Agreement.
  • Any amendments or changes must be documented in writing and signed by both parties.
  • Workiflow may update these terms with prior notice to the Client.
